Terms & Conditions for Riverdale Marketing
1. Parties and Agreement

2. Scope of Services
Riverdale Marketing INC will provide services as detailed in an accompanying Scope of Work (SOW) document. Services may include social media marketing, SEO website creation, AI advertisement generation, and general consulting. The Agency commits to providing these services with reasonable care and skill.
3. Fees and Payment Terms
The Client agrees to compensate Riverdale Marketing INC as specified in the SOW.
4. Financing Option
Riverdale Marketing INC, as a convenience to the Client, may offer an in-house financing option for certain services as outlined in the SOW.
5. Intellectual Property Rights
All intellectual property rights arising from services rendered to the Client (e.g., website code, ad creatives, strategic plans) shall become the exclusive property of the Client upon completion of all payments due under this Agreement, including any outstanding financing balance. The Agency retains a license to use such work for portfolio and promotional purposes unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to protect and keep confidential any proprietary or sensitive information shared during the term of this Agreement. This includes business plans, trade secrets, data, and existing intellectual property.
7. Limitation of Liability
Riverdale Marketing INC is an independent contractor. Riverdale Marketing INC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue or business damages, that may arise from the services provided.
8. Termination
