Terms & Conditions for Riverdale Marketing 

1. Parties and Agreement

This agreement ("Agreement") is between Riverdale Marketing INC  and the Client , effective upon the date of signing. This Agreement outlines the terms and conditions under which the Agency will provide marketing services to the Client.

2. Scope of Services

Riverdale Marketing INC will provide services as detailed in an accompanying Scope of Work (SOW) document. Services may include social media marketing, SEO website creation, AI advertisement generation, and general consulting. The Agency commits to providing these services with reasonable care and skill.

3. Fees and Payment Terms

The Client agrees to compensate Riverdale Marketing INC as specified in the SOW.

• Invoicing: Invoices will be issued [Frequency, e.g., monthly, upon milestone completion], with payment due within [e.g., 30] days of receipt.
• Late Payments: Any amounts not paid by the due date shall bear interest at the rate of 1.5% per month (or the maximum rate allowed by law, whichever is less). The Client is responsible for all reasonable collection costs and attorneys' fees incurred by the Agency in enforcing payment terms. The Agency reserves the right to suspend or terminate services if payment is not received within [e.g., 60] days of the invoice date.
• Expenses: Pre-approved expenses incurred by the Agency on the Client's behalf will be billed separately.

4.  Financing Option

Riverdale Marketing INC, as a convenience to the Client, may offer an in-house financing option for certain services as outlined in the SOW.

• Financing Agreement: If the Client opts for financing, they must sign a separate, detailed financing agreement that outlines the specific loan amount, interest rate (stated as an "annual percentage rate"), payment schedule, and all associated terms in compliance with applicable laws.
• No Legal/Financial Advice: Riverdale Marketing INC is a marketing consulting firm, not a licensed financial institution or advisor. The provision of financing does not constitute legal, tax, investment, financial, or other advice.
• Compliance: The Client acknowledges that all financing arrangements are subject to federal and state regulations, including TILA.
• Default: Default on financing payments is considered a material breach of this Agreement and may result in the immediate termination of all marketing services and the pursuit of full payment of the outstanding balance.

5. Intellectual Property Rights

All intellectual property rights arising from services rendered to the Client (e.g., website code, ad creatives, strategic plans) shall become the exclusive property of the Client upon completion of all payments due under this Agreement, including any outstanding financing balance. The Agency retains a license to use such work for portfolio and promotional purposes unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to protect and keep confidential any proprietary or sensitive information shared during the term of this Agreement. This includes business plans, trade secrets, data, and existing intellectual property.

7. Limitation of Liability

Riverdale Marketing INC is an independent contractor. Riverdale Marketing INC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue or business damages, that may arise from the services provided.

8. Termination

Either party may terminate this Agreement with [e.g., 30] days' written notice. The termination clause outlines required notice periods, obligations, and what happens to incomplete work and outstanding payments if the contract ends early. The Client will be invoiced for all work completed up to the termination date.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of [Your State]. Any disputes will be resolved through mediation or arbitration as outlined in the full contract using e-Oscar platforms.
